Welcome to republicfurnitures.com (the "Website"), owned and operated by Republic Furniture Indonesia ("Company," "we," "us," or "our"), an Indonesia furniture manufacturer, supplier and wholesale exporter based in Jepara, Central Java, Indonesia. By accessing this Website or engaging in any business transaction with us, you ("Buyer," "Customer," or "you") agree to be bound by the following Terms and Conditions. Please read them carefully before placing an order or using our services.
1. General Information
1.1. Republic Furniture Indonesia has been manufacturing teak outdoor furniture since 1999 and operates as a business-to-business (B2B) wholesale supplier and retailer serving international markets including the United States, Europe, the Middle East, UAE, Australia, and Asia.
1.2. These Terms and Conditions apply to all quotations, proposals, orders, contracts, and transactions made through this Website, via email, or through direct communication with our sales representatives, unless otherwise agreed in writing.
1.3. By submitting an inquiry, request for quotation (RFQ), purchase order, or deposit payment, the Buyer confirms acceptance of these Terms and Conditions in full.
2. Products and Product Information
2.1. Republic Furniture specializes in teak outdoor furniture, combining traditional Jepara craftsmanship with modern and timeless design.
2.2. As our furniture is handcrafted from natural solid teak wood, minor variations in grain, color, and texture between individual pieces are natural characteristics of the material and do not constitute a defect.
2.3. Product images, dimensions, and specifications displayed on the Website are provided for reference purposes. We reserve the right to make reasonable modifications to product design, materials, or specifications for improvement purposes, provided such changes do not materially affect the core specifications agreed upon in a confirmed order.
2.4. Wood sourcing and legality: Our teak wood is sourced in compliance with Indonesian timber legality standards, including SVLK (Sistem Verifikasi Legalitas Kayu) certification, certified material upon request and subject to availability. Certification details will be confirmed at the time of order.
3. Quotations and Pricing
3.1. All prices quoted are in United States Dollars (USD) or Euro (EUR) unless otherwise stated, and are valid for the period specified in the quotation (typically 30 days from the date of issuance).
3.2. Prices are generally quoted on an FOB (Free on Board) basis from the port of Semarang or Jakarta, Indonesia, unless another Incoterm (e.g., CIF, EXW, CFR) is explicitly agreed upon in writing.
3.3. Quoted prices do not include import duties, taxes, tariffs, customs clearance fees, or inland transportation costs in the Buyer's destination country, which remain the Buyer's sole responsibility unless otherwise agreed.
3.4. Republic Furniture Indonesia reserves the right to revise pricing due to significant fluctuations in raw material costs, currency exchange rates, or shipping/freight costs, with prior notice to the Buyer before order confirmation.
4. Minimum Order Quantity (MOQ)
4.1. As a wholesale B2B supplier, Republic Furniture requires a Minimum Order Quantity (MOQ) or minimum order value, which will be communicated during the quotation process based on product type and container capacity.
4.2. We recommend Buyers consolidate orders to optimize container loading (LCL/FCL) for cost efficiency.
5. Order Process and Confirmation
5.1. An order is only considered confirmed upon:
- (a) written agreement on product specifications, quantity, and pricing;
- (b) issuance of a formal Proforma Invoice (PI) by Republic Furniture; and
- (c) receipt of the agreed deposit payment.
5.2. Any changes to a confirmed order (design, quantity, finishing, etc.) must be requested in writing and are subject to our approval, potential price adjustment, and revised production lead time.
6. Payment Terms
6.1. Standard payment terms are as follows, unless otherwise agreed in writing:
- (a) 30–50% deposit (T/T Advance) upon order confirmation; and
- (b) the remaining balance paid prior to shipment, upon presentation of shipping documents, or as otherwise negotiated (e.g., against a Letter of Credit/L/C for larger orders).
6.2. Accepted payment methods include bank telegraphic transfer (T/T) and, for qualifying orders, Letter of Credit (L/C). Bank charges incurred in the Buyer's country are the Buyer's responsibility.
6.3. Production will only commence after the deposit payment has been confirmed as received in our designated bank account.
6.4. Delayed balance payments may result in delayed shipment, additional storage/demurrage charges, or cancellation of the order at our discretion.
7. Production Lead Time
7.1. Estimated production lead time will be specified in the Proforma Invoice and typically ranges between 30–60 days from deposit confirmation, depending on order volume, customization, and current production schedule.
7.2. Lead times are estimates and may be affected by factors including raw material availability, customization complexity, force majeure events, or peak seasonal demand. Republic Furniture Indonesia will make commercially reasonable efforts to communicate any anticipated delays promptly.
8. Shipping, Delivery, and Incoterms
8.1. Republic Furniture ships internationally via sea freight (FCL/LCL) from Indonesian ports, and can coordinate with the Buyer's preferred freight forwarder or arrange shipping on the Buyer's behalf.
8.2. Risk of loss or damage to goods transfers to the Buyer upon loading of goods onto the vessel at the port of origin (in accordance with the agreed Incoterm, typically FOB).
8.3. Estimated transit times vary by destination and shipping line and are provided for reference only; Republic Furniture Indonesia is not liable for delays caused by shipping lines, customs authorities, port congestion, weather, or other circumstances beyond our reasonable control.
8.4. The Buyer is responsible for import clearance, customs documentation, duties, and taxes in the destination country unless otherwise agreed.
9. Quality Control and Inspection
9.1. All products undergo internal quality control prior to packing to verify compliance with agreed specifications.
9.2. Buyers are welcome to request pre-shipment inspection (conducted personally, by an appointed representative, or by an independent third-party inspection agency) at the Buyer's own cost, arranged prior to container loading.
9.3. Claims regarding product quality, quantity, or specification discrepancies must be submitted in writing, with supporting photographic or video evidence, within 7 calendar days of container unloading at the destination port. Claims submitted after this period may not be honored.
10. Warranty
10.1. Republic Furniture Indonesia warrants that its solid teak furniture is free from manufacturing defects in materials and workmanship under normal use conditions for a period of [e.g., 1–2 years] from the date of delivery.
10.2. This warranty does not cover:
- (a) natural characteristics of solid wood, including grain variation, minor cracking (checking), or color changes due to natural weathering and UV exposure over time;
- (b) damage resulting from improper handling, storage, installation, or maintenance by the Buyer or end-user;
- (c) damage caused during transportation after risk has transferred to the Buyer, unless covered under separate cargo insurance;
- (d) normal wear and tear.
10.3. Teak outdoor furniture is designed to be weather-resistant; however, we recommend appropriate maintenance (e.g., periodic oiling or covering) to preserve appearance over time, as advised in our care guidelines.
11. Returns, Cancellations, and Refunds
11.1. Due to the custom-manufactured, made-to-order nature of our products, orders cannot be cancelled once production has commenced, except at our sole discretion and subject to deduction of costs already incurred.
11.2. Deposits are generally non-refundable once production has begun, except where Republic Furniture is unable to fulfill the confirmed order specifications.
11.3. Approved claims for verified manufacturing defects (per Section 9.3) will be resolved through repair, replacement of parts, partial credit, or other remedy at our discretion, taking into account the nature and extent of the defect.
12. Intellectual Property
12.1. All content on this Website, including but not limited to text, images, product designs, logos, and graphics, is the property of Republic Furniture Indonesia or its licensors and is protected under applicable intellectual property laws.
12.2. Buyers may not reproduce, distribute, or use our product designs, catalog images, or branding materials for commercial purposes without our prior written consent.
12.3. Custom designs developed exclusively for a specific Buyer under a written agreement will be subject to the intellectual property terms specified in that agreement.
13. Limitation of Liability
13.1. To the maximum extent permitted by applicable law, Republic Furniture's total liability arising from any order shall not exceed the total value of the relevant Purchase Order.
13.2. Republic Furniture shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of profits, loss of business, or loss of goodwill, arising from the use of our products or these Terms.
14. Force Majeure
14.1. Republic Furniture shall not be held liable for any delay or failure to perform its obligations due to causes beyond its reasonable control, including but not limited to natural disasters, pandemics, war, government regulations, port closures, strikes, or shortages of raw materials.
15. Compliance and Certifications
15.1. Republic Furniture is committed to sustainable and legal wood sourcing practices in accordance with Indonesian regulations, including SVLK legality verification, and can provide relevant supporting documentation (SVLK, FSC where applicable, Certificate of Origin, Fumigation Certificate, etc.) upon request for customs and compliance purposes in the Buyer's destination country.
15.2. Buyers are responsible for verifying and complying with import regulations specific to their country (e.g., Lacey Act requirements in the USA, EUTR/EUDR in the European Union).
16. Governing Law and Dispute Resolution
16.1. These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Indonesia.
16.2. Any dispute arising from these Terms or any transaction with Republic Furniture shall first be attempted to be resolved amicably through good-faith negotiation between the parties.
16.3. If a resolution cannot be reached within a reasonable time, the dispute shall be submitted to arbitration or the competent courts of Central Java, Indonesia, unless otherwise agreed in writing by both parties.
17. Privacy
17.1. Any personal or company information submitted through our Website (e.g., via inquiry or contact forms) will be used solely for the purpose of processing inquiries and business communications, and will not be sold or shared with unauthorized third parties. 18. Amendments to Terms
18.1. Republic Furniture reserves the right to update or modify these Terms and Conditions at any time without prior notice. The updated version will be posted on this page with a revised "Last Updated" date. Continued use of the Website or engagement in transactions after such changes constitutes acceptance of the revised Terms.
